STANDARD TERMS AND CONDITIONS OF SALE
General Terms and Conditions
This document (the “Terms”) spells out the terms and conditions of SKUTCHI Designs, Inc. These terms and conditions supersede all previous
policies, pricing, discounts, and lead times whether given orally or in writing by SKUTCHI Designs, Inc. All terms and conditions are subject to
change at Company’s discretion. The Buyer (also referred to herein as “you,” “your,” or “Customer”) agrees to abide by all terms and conditions
stated below., as modified by SKUTCHI Designs, Inc. from time to time in writing..
Terms of Sale: If your order has a lead time of 7-10 days, payment must be made in full before the order can be released into production.
Orders with a longer lead time must pay 50% as a deposit to release the order into production. The remaining balance must be paid at least 72 hours
prior to your order shipping. Your order will not ship until payment in full is received. All orders are payable in U.S. dollars and do not include
installation. PO’s will only be accepted from US Government, city agencies, and public schools.
SKUTCHI Designs, Inc. has the right to adjust any pricing discrepancies on any estimate or invoice prior to a deposit being made against it.
Ship Date: All invoices contain an estimated shipping date, which is the best estimate at the time the order is processed. Your order may ship
prior to the estimated shipping date, depending on the production schedule. If you do not want the merchandise earlier than the specified date this
must be noted on your signoff paperwork.
Order Delays: SKUTCHI Designs, Inc. shall not incur any obligation or liability to the Buyer for failure to ship by the specified date unless
SKUTCHI Designs, Inc. has agreed to a firm shipping date in a separately signed written document. SKUTCHI Designs, Inc. holds no liability for
any failure to deliver or any delay in delivering or performing any obligation due to any cause outside reasonable control, including but not limited
to, fire, flood, bad weather, war, terrorism, civil disturbance, riot, act of government, government regulation, governmental restriction on export or
import, labor dispute, strike, plant shutdown, unavailability of materials, equipment failure or failure of supplier, carrier or subcontractor to deliver on
time or otherwise perform. Notwithstanding the foregoing, if SKUTCHI Designs, Inc. cannot adhere to the agreed upon time for shipment or delivery
of the order, or if delay appears probable, SKUTCHI Designs, Inc. shall promptly give notice to that effect to the Buyer, including the date
SKUTCHI Designs, Inc. expects to ship and deliver.
Cancellations: Orders which have not entered production, and for which SKUTCHI Designs, Inc. has not initiated any cost specific to such
order (such as but not limited to ordering of fabric or parts specific to the order), may be cancelled with written consent. However, SKUTCHI
Designs, Inc. reserves the right to assess a service fee at its discretion. Once production has begun, orders cannot be changed or cancelled.
Installation: SKUTCHI Designs, Inc. offers installation services to be performed by 3rd party companies nationwide. Our products are
commercial grade, and we stress to have a licensed installer perform the installation. If using a SKUTCHI Designs, Inc. approved installer we will
work directly with them to complete the installation as well as troubleshoot any issues that may arise. If an end user opts to not use one of our
installers and installs the products themselves SKUTCHI Designs, Inc. is not liable for the incorrect installation, or any damages done to the products
by the end user. SKUTCHI Designs, Inc. will try to answer questions on the installation, but we do not have support that will walk you through the
installation process and identify each component.
Freight Terms: All goods are sold FOB, unless otherwise agreed to in writing by both parties. Notwithstanding, risk of loss and damage shall
pass to Buyer when the goods are delivered to Buyer and final acceptance of Buyer.
Freight terms apply to the Contiguous U.S. If shipments must be made outside of the U.S. your salesperson will review this with you. You must sign
off on this when your order is placed. All LTL shipments are scheduled with liftgate service and a call to schedule drop off. If additional services are
needed such as: after hour delivery, inside delivery, or installation then we must schedule white glove service with our local installers (your
salesperson will review this with you prior to ordering). If the ship to address in incorrect after the product is released to ship the customer is
responsible for a reconsignment fee. Reconsignments will cause delays in your freight. Company will bill the Buyer any additional carrier costs that
are not included on Buyer’s Order at the full carrier charge, which may differ from SKUTCHI Designs, Inc. standard charges.
SKUTCHI Designs, Inc. will make every effort to adhere to the estimated delivery date; however, neither Company nor the carrier will guarantee or
be held responsible in any manner for delays or deviation from the planned delivery date unless the customer ordered a GUARANTEED
DELIVERY DATE upon placing order. SKUTCHI Designs, Inc. is not responsible for any costs incurred for late deliveries, including labor or other
charges resulting from unforeseen delays. If any order is denied at delivery the customer is responsible for to and from shipping.
Lift Gate: All deliveries are scheduled with lift-gate service unless noted. A special truck equipped with a hydraulic lift will bring your order
down to ground level. Standard policy is that the driver will not break down the freight or move it inside.
Inside Delivery: If you are not able to receive your order from a loading dock and the delivery must brought inside of the building you will
need white glove service (discuss this with your salesperson). An installer will deliver your order anywhere in the building as well as assemble the
product if needed.
Limited Access: Includes locations such as Churches, Schools, Universities, Commercial establishments not open to walk-in public during
normal business hours, Construction sites, Fairs or carnivals, Prisons, Military Base/Installations, Rural or out of town highway access locations,
Business located outside of the continental US, Canada and sites requiring Security Inspections prior to delivery. We do not ship to residential
address.
Freight Claims: If shipping to an installer: SKUTCHI Designs will be in contact with the installer if freight damages are noticed upon
delivery as well as concealed damages. We will do our best to ship replacement items within a timely manner. We are under no obligation to expedite
replacements.
If shipping directly to buyer. Buyer shall inspect all shipments upon arrival and shall notify SKUTCHI Designs, Inc. in writing of any shortages or
damages or other failures to conform to this Agreement which are reasonably discoverable upon arrival.
If damages are seen upon delivery (dented boxes, opened packages, missing packages, holes, etc.) should be noted on the BOL or Delivery Receipt
before the driver leaves.)
It is the Customer’s responsibility to examine goods immediately upon receipt and file any claims with SKUTCHI Designs, Inc. within 72 hours. We
require pictures to be sent to sales@SKUTCHI.com or directly to your salesperson. If a concealed damaged is noticed, we require pictures to be
sent. All shortages must be reported to SKUTCHI Deigns, Inc. within 7 days of delivery to end user or during installation from installer. We are
under no obligation to expedite replacement or missing product, nor will we reimburse for, re-install, or any labor charges. Failure to follow these
policies will result in claim responsibility shifting from SKUTCHI Designs, Inc. to Customer.
Failure to do so negates our ability to file a claim with the carrier and therefore removes SKUTCHI Designs, Inc. and carrier’s
responsibility for any damages.
Returns: Cubicles, Wall Systems, Custom Products cannot be returned under any circumstance. Merchandise may not be returned without
Company’s prior written consent. Authorized return merchandise is subject to a handling and restocking charge. If a return is accepted, it is the
Customer’s responsibility to ship the item back. Damaged materials and build to order items cannot be returned under any conditions.
